    EXPLANATORY NOTE

     

    Canaan Inc. is filing this Post-Effective Amendment No. 6 (the “Amendment”) to the registration statement on Form F-3 (Registration No. 333-285125 Canaan Inc.) (the “Registration Statement”) as an exhibits-only filing solely to correct certain typographical error introduced during the processing of the Edgarized version of the consent of KPMG Huazhen LLP attached as Exhibit 23.1 to Amendment No. 5 to the Registration Statement filed on June 15, 2026. Accordingly, this Amendment consists of only the facing page, this explanatory note, Part II of the Registration Statement, the signature pages to the Registration Statement and the filed exhibits. The remainder of the Registration Statement is unchanged from Post-Effective Amendment No. 4 to the Registration Statement filed on May 22, 2026 and has been omitted.

     

    No additional securities are being registered under this Amendment. All applicable registration fees were previously paid.

This standard of conduct is generally the same as permitted under the Delaware General Corporation Law for a Delaware corporation. In addition, we intend to enter into indemnification agreements with our directors and executive officers that will provide such persons with additional indemnification beyond that provided in our articles of association.

     

    Under the indemnification agreements with our directors and executive officers, the form of which was filed as Exhibit 10.2 to our registration statement on Form F-1, as amended (File No. 333-234356), we have agreed to indemnify our directors and executive officers against certain liabilities and expenses incurred by such persons in connection with claims made by reason of their being such a director or executive officer.

     

    Any underwriting agreement entered into in connection with an offering of our securities may also provide for indemnification of us and our officers and directors in certain cases.

     

    Insofar as indemnification for liabilities arising under the Securities Act may be permitted to our directors, officers or persons controlling us under the foregoing provisions, we have been informed that, in the opinion of the SEC, such indemnification is against public policy as expressed in the Securities Act and is therefore unenforceable.
