Dear Colleagues,
Today we announced that Masimo’s Board of Directors unanimously approved an agreement to be acquired by Danaher, a global science and technology company with businesses across biotechnology, diagnostics, and life sciences, for $180 per share. Danaher’s interest in acquiring Masimo at this time is a testament to their belief in our talent and market-leading pipeline. Danaher shares our commitment to investing in talent and innovation and will be an ideal fit to help power the next chapter of Masimo. Most importantly, becoming part of Danaher provides us with the resources to accelerate our ability to fulfill our mission of delivering innovations that empower clinicians to transform patient care.
I am sure many of you are asking, ‘what does today’s news mean for me?’
Following the closing of the transaction, we are excited that Masimo will operate as a standalone business unit within Danaher’s Diagnostics segment. Masimo will keep its brand, its headquarters, and its commitment to the values that define us now.
In other words, it’s largely business as usual. In fact, one of the key aspects we discussed with Danaher’s leadership was the exciting new opportunities for long-term career growth that this will bring for Masimo employees and management. In addition, Danaher’s Diagnostics segment is based right here in Orange County, and so is the EVP who leads it, Julie Sawyer Montgomery. As we have gotten to know Julie and her team, we have been very impressed with how well-aligned they are with our core values of patients first, innovation, performance and people. We are looking forward to this next step and continuing our growth and momentum as the global leader in patient monitoring.
Going forward, we remain committed to our strategy for growth and innovation built on elevating commercial and operational excellence. I am confident we will continue to execute with discipline and deliver strong results.
As with any merger, the closing is subject to the satisfaction of customary closing conditions. We anticipate that the acquisition will be completed by the second half of 2026. Until closing, we remain separate companies.
We understand that some of you may still have questions and we will be holding an all-hands team meeting today at 9:30 AM PST to discuss the announcement.
