On February 13, 2026, ON24, Inc., a Delaware corporation (the “Company” or “ON24”), received notice from the United States Federal Trade Commission of early termination of the waiting period under the Hart-Scott-Rodino Antitrust Act of 1976 in connection with the previously announced acquisition by an affiliated entity of Cvent, Inc. pursuant to that certain Agreement and Plan of Merger (the “Merger Agreement”) with Cvent Atlanta, LLC, a Delaware limited liability company (“Parent”), and Summit Sub Corp., a Delaware corporation and wholly-owned subsidiary of Cvent Atlanta, LLC (“Merger Sub”). Consummation of the acquisition is subject to customary stockholder and other regulatory approvals as further described in the Company’s proxy statement filed with the Securities and Exchange Commission (the “SEC”) on February 9, 2026.
