Item 2.05 Costs Associated with Exit or Disposal Activities.
On July 14, 2025, management of Quanterix Corporation (the “Company”) committed to a plan to terminate certain executives of the Company's newly acquired subsidiary, Akoya Biosciences, Inc. (“Akoya”). The terminations are part of the Company’s integration plan to realize anticipated synergies and other benefits of the acquisition through reduced costs and streamlined operations and are expected to result in annualized cash savings of approximately $2.8 million. The Company expects to incur expenses of approximately $3.3 million, substantially all of which will be cash expenditures incurred in 2025 for severance required under Akoya’s Executive Severance Plan.
The Company’s estimates are based on a number of assumptions. Actual results may differ materially, and additional charges not currently expected may be incurred in connection with, or as a result of, the terminations. As permitted by Item 2.05 of Form 8-K, the Company will file an amendment to this report if charges and future cash payments differ materially from current estimates.
