ITEM 7.01 REGULATION FD DISCLOSURE.
On June 22, 2026, Braemar Hotels & Resorts Inc. (the “Company”) issued a press release announcing that its Board of Directors declared the June 2026 dividends for its 5.5% Series B Cumulative Convertible Preferred Stock, 8.25% Series D Cumulative Preferred Stock, Series E Redeemable Preferred Stock and Series M Redeemable Preferred Stock.
As of May 29, 2026, there were 10,905,043 shares of the Company's Series E Redeemable Preferred Stock and 1,367,795 shares of the Company's Series M Redeemable Preferred Stock issued and outstanding.
