| Item 7.01 | Regulation FD Disclosure. |
On December 10, 2025, Willis Towers Watson Public Limited Company (the “Company”) announced that it has signed a definitive agreement, dated as of December 9, 2025, to acquire Newfront Insurance Holdings, Inc. (“Newfront”), a San Francisco-based U.S. broker, for upfront and contingent consideration payments totaling $1.3 billion. The transaction has been approved by the Company’s Board of Directors and is expected to close during the first quarter of 2026, subject to the receipt of certain regulatory approvals and other customary closing conditions.
