    Item 2.02 Results of Operations and Financial Condition
     
    On July 18, 2025, Veritex Holdings, Inc. (the “Company”), the holding company for Veritex Community Bank, a Texas state chartered bank, issued a press release describing its results of operations for the second quarter ended June 30, 2025. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

    On July 18, 2025, the Company also announced in the press release that its Board of Directors declared a quarterly cash dividend of $0.22 per share on its outstanding common stock. The dividend will be paid on August 21, 2025 to shareholders of record as of the close of business on August 7, 2025. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
