This registration statement on Form S-8 (the “Registration Statement”) is being filed by Token Cat Limited (the “Registrant”) in accordance with the requirements of Form S-8 under the Securities Act of 1933, as amended (the “Securities Act”), in order to register 1,237,314,318 class A ordinary shares, par value $0.0001 per share (the “Ordinary Shares”), issuable pursuant to the 2025 Equity Incentive Plan (the “Plan”) of the Registrant.
