    This Registration Statement on Form S-8 (the “Registration Statement”) is filed by LeonaBio, Inc. (the “Registrant”) for the purpose of registering 64,600 shares of common stock of the Registrant reserved for issuance under the LeonaBio, Inc. 2020 Employee Stock Purchase Plan (the “2020 ESPP”), pursuant to the provision of the 2020 ESPP providing for such automatic increase in the number of shares reserved for issuance.
