Business Update
Team,
Following last week’s business update announcement, I’m reaching out to reaffirm our commitment to staying connected and keeping everyone informed as we navigate our transition to the Lumine Group. I also want to thank you for your continued focus on the business and the commitment you’ve shown in delivering on our year-end priorities during this time of change.
While legal, financial, and compliance work is underway as part of the pre-closing process, our immediate focus as a company remains the same: finishing the year strong, supporting our customers, and continuing to show up for one another as a team.
Over the coming weeks, we’ll be preparing our proxy statement, which is a formal document that outlines the details of the proposed transaction and provides important information for our stockholders. Once the definitive proxy statement is filed with the U.S. Securities and Exchange Commission (SEC), stockholders will receive a copy of it in the mail and will have the opportunity to review the details ahead of a special stockholder meeting, where we will seek their approval for the transaction. This is a normal part of the process and an important milestone in moving the transaction forward - which we expect to be completed in first half of 2026.
We are committed to keeping the lines of communication open. Although certain details of the transaction are governed by legal and regulatory requirements, we will continue to share updates.
