CFLT - IBM Transaction Customer / Partner Letter
Sender: Ryan Mac Ban
Subject: IBM to Acquire Confluent to Create Smart Data Platform for Enterprise Generative AI
Send Date: December 8, 2025
Distribution: Partners
Dear [Valued Customer ],
This morning, we announced that Confluent has entered into a definitive agreement to be acquired by IBM. You can read more about the transaction in the press release that was issued as well as in the blog post we published on our website.
We’re excited to partner with IBM because of their hybrid-cloud application infrastructure and deep enterprise trust. In 2014, Confluent was built to help organizations set data in motion by pioneering a new category of data infrastructure for real-time data streaming. Today’s announcement is a strong validation of that vision and a major step toward facilitating industry-shaping innovation that harnesses the full potential of AI to achieve greater customer success.
Modern applications are built around data, and together, IBM and Confluent will aim to provide a platform that unifies the data of the world-leading enterprises, unlocking data for cloud/microservices, accelerating time-to-value, and building the real-time data foundation required to scale AI across every organization.
Importantly, we expect this transaction to bring significant value to our valued customers. Here's what this announcement means for you:
| ● | Many things remain the same: It is business as usual at Confluent, and we will continue building the same product for the same customers with the same ambition and sense of urgency. |
| ● | Expanded reach and access: Combining Confluent’s data streaming leadership within IBM’s global reach will help us innovate faster, scale further, and unlock more opportunities across AI and hybrid/multi-cloud for our customers. |
In terms of next steps, we expect the transaction to close by the middle of 2026, subject to approval by Confluent shareholders, regulatory approvals, and other customary conditions. Until then, you should expect no changes to how we work with you. We are dedicated to creating value for our customers, building effective partnerships, and ensuring a seamless transition for all of our stakeholders.
After close, Confluent will operate as a standalone business unit within IBM, with Jay Kreps reporting directly to Rob Thomas, Senior Vice President, Software and Chief Commercial Officer at IBM.
I want to thank you for your continued support. Everything we do is for our customers and we value our relationship. We hope you share in our excitement for our future with IBM.
Please do not hesitate to reach out to your Account Team if you have any questions.
Sincerely,
Ryan Mac Ban
Chief Revenue Officer

Actual events and circumstances are difficult or impossible to predict and may differ from assumptions. Many actual events and circumstances are beyond the control of the Company. These forward-looking statements are subject to a number of risks and uncertainties, including the timing, receipt and terms and conditions of any required governmental and regulatory approvals of the proposed transaction that could delay the consummation of the proposed transaction or cause the parties to abandon the proposed transaction; the occurrence of any event, change or other circumstances that could give rise to the termination of the merger agreement entered into in connection with the proposed transaction; the possibility that the Company’s stockholders may not approve the proposed transaction; the risk that the parties to the merger agreement may not be able to satisfy the conditions to the proposed transaction in a timely manner or at all; risks related to disruption of management time from ongoing business operations due to the proposed transaction; the risk that any announcements relating to the proposed transaction could have adverse effects on the market price of the common stock of the Company; the risk of any unexpected costs or expenses resulting from the proposed transaction; the risk of any litigation relating to the proposed transaction; and the risk that the proposed transaction and its announcement could have an adverse effect on the ability of the Company to retain and hire key personnel and to maintain relationships with customers, vendors, partners, employees, stockholders and other business relationships and on its operating results and business generally.
