    Item 8.01.

    Other Events.

    On February 25, 2026, GLP Capital, L.P. (the “Operating Partnership”), a Pennsylvania limited partnership and the operating partnership of Gaming and Leisure Properties, Inc., a Pennsylvania corporation (the “Company”), and GLP Financing II, Inc., a Delaware corporation and wholly-owned subsidiary of the Operating Partnership (together with the Operating Partnership, the “Issuers”), as issuers, and the Company, as guarantor, entered into an underwriting agreement (the “Underwriting Agreement”) with Wells Fargo Securities, LLC, Truist Securities, Inc., Citizens JMP Securities, LLC and Fifth Third Securities, Inc., as representatives of the several underwriters named therein (collectively, the “Underwriters”), pursuant to which the Issuers agreed to issue and sell to the Underwriters $800.0 million aggregate principal amount of the Issuers’ 5.625% Senior Notes due 2036 (the “Notes”). The Notes priced at 99.857% of par value, with a coupon of 5.625% and will mature on March 1, 2036. The Notes will be fully and unconditionally guaranteed on an unsecured basis by the Company.

    The offering of the Notes is expected to close on or about March 4, 2026, subject to customary closing conditions, with net proceeds to the Issuers expected to be approximately $791.1 million, after deducting underwriting discounts and commissions and estimated expenses payable by the Issuers. The Issuers intend to use the net proceeds from the offering to repay borrowings outstanding under the Operating Partnership’s term loan credit facility. The Issuers intend to use remaining proceeds for working capital and general corporate purposes, which may include acquisitions, funding development and expansion projects at existing and new properties, repayment of indebtedness, capital expenditures and other general business purposes.

    The Underwriting Agreement contains customary representations, warranties and covenants by the Issuers and the Company. It also provides for customary indemnification by each of the Issuers and the Company for losses or damages arising out of, or in connection, with the sale of the Notes.

    The offering and sale of the Notes were made pursuant to a preliminary prospectus supplement, free writing prospectus and final prospectus supplement under the Issuers’ and the Company’s effective registration statement on Form S-3 (File Nos. 333-286909, 333-286909-01 and 333-286909-02), each of which has been filed with the Securities and Exchange Commission (the “SEC”).

    Gaming and Leisure Properties Acquires Real Estate Assets of Bally's Lincoln for $700.0 Million

    WYOMISSING, Pa., Feb. 11, 2026 (GLOBE NEWSWIRE) -- Gaming and Leisure Properties, Inc. (NASDAQ:GLPI) ("GLPI") announced today that it acquired the real estate assets of Bally's Lincoln in Lincoln, Rhode Island, from Bally's Corporation ("Bally's") for $700.0 million.
