Moments ago, we announced the signing of an agreement to merge with Crescent Energy, a deal valued at approximately $3.1 billion.
This decision recognizes the value of our company and the strong, resilient business we have all worked so hard to build. This transaction, which is expected to close in the fourth quarter of 2025 subject to stockholder approval and other customary closing conditions, will create a scaled, diversified business capable of accelerating incremental value for all stockholders. We have been on a journey to create a $10 billion company and, with this announcement, we get very close to that goal. Together, our companies will be better positioned to compete, invest, and lead within our industry.
Crescent Energy is a Houston-based, mid-size E&P company. They have grown rapidly through mergers and acquisitions, supported by their disciplined growth through acquisition strategy while consistently returning capital to shareholders. The combination with Vital Energy will add a new position in the Permian, complementing their current operations in the Eagle Ford and Uinta basins.
