    Colleagues,

     

    As we continue our integration planning efforts, I wanted to share three important updates regarding our recent merger approval in Ohio, the work that is underway to choose leaders of the combined company, and our preliminary OHI Survey Insights.

     

    Ohio Approval

     

    I’m pleased to share that yesterday, the Public Utilities Commission of Ohio (PUCO) issued an order approving the companies’ proposed merger, marking the second favorable regulatory action in less than a month toward completing the combination of our two companies. As a reminder, we also received approval of the merger in the Commonwealth of Kentucky on April 21, 2026.

     

    Second Level of Management for Combined Company

     

    We are currently working to select the leaders for the future-state combined company. Right now, we are choosing the direct reports of those that will report to John Griffith, CEO of the combined company after the closing. We expect to announce this second level of management soon. Following that milestone, we will begin a thoughtful and deliberate process, similar to the second level, to define the third level of management. We will then continue identifying and aligning leaders across the organization to support our future structure, progressing through our leadership identification process to ensure strong alignment across both organizations. This is thoughtful work, and I appreciate the collaboration I have seen from leaders at Essential and American Water. While the process is still underway, I am confident both teams will be pleased with the outcome. Please watch for additional communication once these decisions have been made.

     

    OHI Survey

     

    Finally, we want to thank everyone again for taking the recent OHI survey. We had a strong participation rate of 80% across the organization. Next, the initial survey analysis demonstrates that our areas of strength are leadership, personal accountability for results, an open, collaborative environment, and a focus on making data-driven decisions. I am proud these strengths came through in the survey. They are areas that make us the success we are today and a leader in our industry. On the opportunities side - the feedback shows opportunities to provide more clarity in our strategic goals, define individual jobs more clearly and further build sustainable processes to support the business. As we continue on this integration planning journey, we have opportunities in both companies to leverage some of these results to build a solid foundation for the combined company.

     

    We are continuing to synthesize these insights, including developing a combined view across Essential Utilities and American Water. This will help inform a shared understanding of strengths and opportunities to build on as we define the aspirations and priorities for the culture of the combined organization. .

     

    Over the coming weeks, this work will translate into clearer themes, and opportunities for broader employee engagement. We will continue to communicate updates as this work progresses.

    Aqua Pennsylvania Acquires Greenville Municipal Water Authority in Mercer County
