2025 has been an incredible year for Santander. A year we can all feel deeply proud of.
The record results reflect Santander’s proven track record of consistent delivery.
In an increasingly uncertain and volatile global environment, we have once again demonstrated the strength of our model, our ability to execute and, above all, the value of working as ONE Santander.
We have continued to grow, adding 8 million new customers to exceed 180 million worldwide. And we have done so thanks to the strong performance of all our global businesses, which have once again shown how scale, collaboration across countries and businesses, and disciplined execution translate into better results for the Group as a whole. |

We delivered record profit, growing revenue, improving profitability, higher shareholder remuneration and an even stronger balance sheet.

But beyond the numbers, what matters most is how we achieved them: by working in a more integrated way, sharing knowledge and talent, collaborating as never before, and always putting the customer at the centre of everything we do.

Strategy is delivering
We closed 2025 with a 132.4% increase in total shareholder return (TSR), 60pp better related to our peer group and 56pp to European Banks.
The market recognises our ability to generate value for customers and shareholders, our disciplined and dynamic capital allocation, as well as 10 years of consistent delivery on all the strategic targets.
But if there is one factor that will be truly decisive for our long-term value — and that depends entirely on us — it is ONE TRANSFORMATION.
We want to move from being a group of
banks to becoming a truly integrated company.
An open global financial services platform capable of fully leveraging its global and in-market scale and technology through
the deployment of shared global platforms; of generating network effects collaborating across businesses and countries;
of having a global view of products and services through global domains; and of applying Artificial Intelligence to work
more efficiently and serve our customers better.
A new phase of profitability in the U.S.: acquisition of Webster
Today we are announcing the acquisition of Webster for $12.2 bn*.
This is an exciting step forward for Santander, as it creates a stronger bank for our customers and the communities we serve. Webster is one of the most efficient and profitable banks among its peers and bringing together two highly complementary franchises will expand the products, technology and capabilities we can deliver with clear revenue opportunities from a stronger, more capable combined franchise.
This transaction is strategically significant for our U.S. business, while remaining a bolt-on for the overall Group. It allows us to strengthen our franchise in both scale and profitability and puts us on track to deliver around 18% RoTE in the U.S. by 2028, among the top five for profitability within the 25 largest U.S. commercial banks.
We are pleased to welcome a proven management team, with John Ciulla, Chairman and CEO of Webster becoming the CEO of Santander Bank NA (SBNA), where all of Webster’s businesses will be integrated. Luis Massiani Webster’s current president and Chief Operating Officer (‘COO’), will be COO of both Santander Holdings USA (SHUSA) and SBNA with responsibility for leading the integration, reporting to both John Ciulla and Christiana Riley who continues as US Country Head and CEO of SHUSA.
The transaction delivers meaningful, tangible value for the Group and our shareholders, with around 7–8% earnings accretion and an approximate 15% return on invested capital.
Importantly, we can achieve this while maintaining all our shareholder remuneration commitments, including the €5 billion share buyback we announced today and our broader distribution commitments.

We enter 2026 from a position of strength
2025 has been an exceptional year, but I am fully convinced that we are only just scratching the surface of our potential.
Our strategy remains to continue compounding growth. ONE TRANSFORMATION still has significant headroom and the combination of TSB and Webster acquisitions in the U.K. and the U.S. will be a significant driver of higher profit as well as taking Group to 80% “hard” currency (USD, GBP and EUR).
With Webster, Santander is now at scale in all our core markets which will accelerate our value creation in the next strategic cycle – and is expected to help us achieve our goal of a group RoTE of above 20% by 2028.

On February 25th, at our Investor Day in London, we will share the strategic priorities and financial ambitions that will guide our activity over the next three years.
