On May 7, 2025, RB Global, Inc. (the "Company") issued a press release announcing its financial results for the first quarter ended March 31, 2025. A copy of the press release is furnished as Exhibit 99.1 to this report.

On May 6, 2025, the Company declared a quarterly cash dividend of $0.29 per common share, payable on June 20, 2025, to shareholders of record on May 29, 2025.
