(a) The Company held its Annual Meeting of shareholders (the “Annual Meeting”) on May 8, 2025.
(b) The Company’s shareholders considered three proposals, each of which is described in the Company’s Definitive Proxy Statement on Schedule 14A (File No. 001-32492), filed with the Securities and Exchange Commission on March 25, 2025.
