Mr. Lindsay is the Managing Member of Powell Anderson Capital Partners LLC, which serves as the Investment Manager of Powell Anderson Capital LP, and the Managing Member of PACP Jupiter LLC (collectively, the "Funds"). The Funds acquired the shares as specified in Table I (collectively, the Funds acquired (86,991) shares and collectively own (824,556) shares following the transactions). As Investment Manager and Managing Member of the Funds, Powell Anderson Capital Partners LLC, and Mr. Lindsay as Managing Member of Powell Anderson Capital Partners LLC, each possess the power to vote and dispose or direct the disposition of the shares acquired by the Funds. |
