Item 1.01.         Entry into a Material Definitive Agreement.

 

On May 1, 2025, Dyadic International, Inc. (the “Company”) entered into a second amendment (the “Second Amendment”) to the Form of Senior Secured Convertible Promissory Note due March 8, 2027 (the “Convertible Notes”) with a majority of the current holders of the Convertible Notes. Pursuant to the Second Amendment, the Redemption Date (as defined in the Second Amendment) now will fall on December 1, 2026.
