ITEM 7.01 REGULATION FD DISCLOSURE
On February 18, 2025, Cosmos Health Inc. (the “Company”) announced that it will not proceed with an Offering under its Form S-1 Registration Statement.
A press release announcing the Company will not proceed with an offering pursuant to its Registration Statement on Form S-1 until after filing its Annual Report on Form 10-K for the fiscal year ended December 31, 2024 is attached hereto as Exhibit 99.1 and incorporated herein by reference.
Exhibit 99.1 is being furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such filing.
