On August 21, 2025, the Board of Directors (the “Board”) of The Children’s Place, Inc. (the “Company”), as part of its annual review process regarding director compensation, approved an additional compensation arrangement for Mr. Muhammad Asif Seemab, a member of the Board who was also recently appointed as Executive Vice Chairman of the Company. The compensation arrangement was reviewed and approved as a related person transaction in accordance with the Company’s policies. The approved additional compensation arrangement, effective as of August 1, 2025, includes the following: (i) an annual cash payment of $280,000, in lieu of previously forfeited director equity compensation ($140,000 of the Company’s common stock annually); (ii) an annual cash retainer of $100,000 for Mr. Seemab’s role as Vice Chairman of the Board; and (iii) eligibility to participate in the Company’s health and benefits plan as an employee of the Company.
