Item 8.01 Other Events
On May 8, 2025, the Board of Directors of the Axos Financial, Inc. (the “Registrant” or the “Company”) authorized an increase of $100 million to the Company’s existing common stock repurchase program announced on April 27, 2023. Approximately $48 million remains from the previous increase announced on February 12, 2024. The press release announcing the repurchase authorization is furnished as Exhibit 99.1.
The Company may repurchase shares on the open market or through privately negotiated transactions at times and prices considered appropriate by the Company, at the discretion of management, and subject to its assessment of alternative uses of capital, stock trading price, general market conditions and other factors. There is no set start or end date for the new common stock repurchase program.
