Item 8.01. Other Events.
Today, Argan Inc. (“Argan” or the “Company”) issued a press release (the “Press Release”) announcing that its Board of Directors (the “Board”) declared a regular quarterly cash dividend in the amount of $0.375 per share of common stock, payable April 30, 2025 to stockholders of record at the close of business on April 22, 2025.
The Press Release also announced that the Board approved an increase to the Company’s existing share repurchase program, from $125 million to $150 million.
A copy of Argan’s Press Release is attached to this report as Exhibit 99.1 and is incorporated herein by reference.
