On April 23, 2025, Amplify Energy Corp., a Delaware corporation (the “Company”), reconvened its Special Meeting of Stockholders (the “Special Meeting”). The Company adjourned the Special Meeting without the transaction of any business. The Special Meeting will be reconvened on Thursday, May 1, 2025, at 8:00 a.m. Central Time, and will continue to be held virtually via the internet at www.cesonlineservices.com/ampysm_vm.

On April 23, 2025, the Company issued a press release announcing the adjournment of the Special Meeting and the information for the reconvened Special Meeting. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
