Explanatory Note
This Amendment No. 1 on Form 8-K/A amends the Current Report on Form 8-K filed by Onity Group Inc. (the “Company”) on January 5, 2026 to disclose director Dawn C. Morris’s expected committee assignments on the Company’s Board of Directors (“Board”).

As previously disclosed, on December 30, 2025, the Company’s Board appointed Dawn C. Morris to serve as a director, effective January 1, 2026. On March 17, 2026, the Board appointed Ms. Morris to serve on the Board’s Audit Committee and Nomination/Governance Committee, effective immediately. The Board has determined that Ms. Morris is independent as independence is defined in the applicable regulations of the Securities and Exchange Commission and the listing standards of the New York Stock Exchange.
